  • "User" or "You" refers to any individual or entity accessing our website or engaging our services
  • "Website" refers to all pages and content hosted at maplewymx.top
  • "Client" refers to individuals or entities who have entered into an engagement agreement with Maplewymx
  • "Agreement" refers to these Terms and Conditions together with any engagement letter or retainer agreement

3. Website Use

3.1 Permitted Use: You may use our website for lawful purposes related to learning about our services, contacting our firm, and accessing publicly available information. Website use does not create an attorney-client relationship.

3.2 Age Requirement: Our services are intended for individuals who are at least 18 years of age or the age of majority in their jurisdiction. By using our website, you represent that you meet this requirement.

3.3 Account Accuracy: If you create an account or provide information through our website, you agree to provide accurate, current, and complete information and to update this information as needed to maintain its accuracy.

4. Prohibited Uses

5.3 Professional Standards: Our services are provided in accordance with the Rules of Professional Conduct of the Law Society of Ontario and applicable laws governing the practice of law in Canada.

5.4 Conflicts of Interest: We will conduct conflict checks before accepting representation. If a conflict is identified, we may be unable to represent you.

6. Fees and Payment

6.1 Fee Structure: Our fees will be outlined in the engagement letter. We may charge fees on an hourly basis, fixed fee basis, or other arrangements as mutually agreed. All fees are in Canadian dollars (CAD) unless otherwise specified.

6.2 Payment Terms: Payment terms will be specified in the engagement letter. Generally, invoices are due within 30 days of issuance unless otherwise agreed. We may require a retainer deposit before beginning work.

6.3 Disbursements: You agree to reimburse us for reasonable disbursements incurred in connection with your matter, including court filing fees, expert fees, travel expenses, and other necessary costs.

6.4 Late Payment: Unpaid invoices may accrue interest at the rate specified in the engagement letter or the maximum rate permitted by applicable law. We reserve the right to withdraw from representation if fees remain unpaid.

7. Intellectual Property

7.1 Website Content: All content on our website, including text, graphics, logos, images, and software, is the property of Maplewymx or our licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.

7.3 Work Product: Documents and work product created specifically for your legal matter are provided to you under the terms of the engagement agreement. Our firm retains ownership of internal work product, research memoranda, and other materials not specifically provided to you.

8. Disclaimers and Limitations of Liability

8.1 Website "As Is": Our website is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free from harmful components.

8.2 No Guarantee of Results: While we strive to provide competent legal representation, we cannot guarantee specific outcomes in legal matters. Legal proceedings involve uncertainty, and results depend on numerous factors beyond our control.

8.3 Limitation of Liability: To the maximum extent permitted by law, Maplewymx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, data, or business opportunities.

8.4 Professional Liability: Our liability for professional services is governed by our professional liability insurance and applicable law. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

9. Termination of Services

9.1 Client Termination: You may terminate our representation at any time by providing written notice. You remain responsible for fees incurred up to the date of termination and any necessary transition work.

9.2 Firm Termination: We may withdraw from representation in accordance with Law Society rules, including situations involving non-payment of fees, loss of confidence, conflict of interest, or other professional obligations.

9.3 File Return: Upon termination, we will return your file materials and documents belonging to you, subject to our lien rights for unpaid fees where permitted by law.

10. Dispute Resolution

10.1 Informal Resolution: If a dispute arises concerning our services or these Terms, we encourage direct communication to resolve the matter informally before pursuing formal proceedings.

10.2 Governing Law: These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be brought in the courts of Ontario.

10.3 Fee Disputes: Disputes regarding legal fees may be referred to the Law Society of Ontario's fee mediation program or fee arbitration process as provided under Ontario law.

11. General Provisions

11.1 Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between you and Maplewymx regarding use of our website and services, superseding any prior agreements or understandings.

11.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

11.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
